1. User Eligibility
- Who can use Swil Unify: Any legally registered business entity operating in good standing is eligible to create an account and utilize the platform for its intended purpose.
- Future expansion: Currently, Swil Unify primarily serves businesses located in India. However, we reserve the right to expand our offering to other jurisdictions in the future. You will be informed of any changes through our website or designated communication channels.
2. Account Creation and Management
- Account information: To create an account, you will be required to provide your business email address, phone number, and relevant company details such as name, registered address, and GSTIN number. Providing accurate and complete information is crucial for verification purposes and facilitating secure transactions.
- Password security: Swil Unify enforces industry-standard password policies to protect your account. These policies may include minimum password length, character complexity requirements, and regular password change mandates. Multi-factor authentication may be implemented in the future to further enhance account security.
- Account management: You are responsible for maintaining the confidentiality and security of your account credentials. Please notify Swil Unify immediately of any suspected unauthorized access or security breaches. Swil Unify reserves the right to suspend or terminate accounts that violate these provisions or engage in malicious activities.
3. Acceptable Use
- Permitted use: Swil Unify is designed to facilitate secure and efficient document exchange between businesses for transactions within pre-defined categories, such as reports, invoices, purchase orders, delivery challans, and sales returns. Users are permitted to utilize the platform only for its intended purpose and within the scope of authorized functionalities.
- Prohibited activities: Any activity that violates the law, infringes upon intellectual property rights, or undermines the integrity and security of the platform is strictly prohibited. This includes, but is not limited to, spamming, uploading unauthorized documents, attempting to gain unauthorized access to other users' accounts, sharing illegal or explicit content, and intentionally disrupting the platform's operations.
- Industry and goods restrictions: Currently, Swil Unify does not restrict transactions based on specific industries or goods. However, we reserve the right to implement such restrictions in the future if deemed necessary to comply with legal requirements or maintain the platform's integrity.
4. Data Accuracy and Ownership
- Accuracy & responsibility: Users are solely responsible for the accuracy and completeness of the business details they provide on the platform. Any false or misleading information may lead to account suspension, termination, or legal recourse as deemed necessary. Swil Unify reserves the right to verify submitted information and may request additional documentation for this purpose.
- Data ownership: The ownership of data within each transaction remains with the respective sender and receiver. Swil Unify acts as a facilitator and stores data securely as per agreed terms. Users retain control over their data and can choose to share it with other parties at their own discretion.
5. Intellectual Property
- Swil Unify ownership: Swil Unify owns all intellectual property rights associated with the platform, including its software, design, and functionalities. Users have a non-exclusive license to utilize the platform for authorized purposes as per these Terms of Use.
- User data ownership: Users retain ownership of the data they upload to the platform, including content within documents exchanged through transactions. However, by using the platform, users grant Swil Unify the necessary rights to process, store, and transmit this data as required to facilitate the intended functionalities.
6. Fees and Payment
- Current status: As of now, Swil Unify is free to use during its public beta phase, allowing users to experience the platform firsthand.
- Future pricing: A clearly defined pricing structure will be implemented in the future, outlining any applicable fees and payment methods. Users will be notified of any changes well in advance and have the opportunity to review and accept the new terms before incurring any charges.
7. Termination and Suspension
- Grounds for action: Swil Unify reserves the right to terminate or suspend any user account without prior notice if the user violates these Terms of Use, engages in prohibited activities, exhibits suspicious behavior that may harm the platform or other users, or remains inactive for an extended period.
- Notification & appeal: In most cases, Swil Unify will attempt to notify users of impending account termination or suspension and provide them with an opportunity to address the violation or take corrective action. However, immediate termination may occur in cases of severe misconduct or potential harm to the platform. Users may have the right to appeal.
